Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Foundations GMS (the “Service”), a grants management system provided by IdealixAI LLC (“IdealixAI,” “we,” “us”). By signing in to or using the Service you agree to these Terms. If you use the Service on behalf of a school, district or other organization, you confirm you are authorized to bind that organization.

1. The Service

Foundations GMS helps grant administrators and grant recipients manage programs, applications, written responses, budgets, reimbursement requests, payments and related records. Features may change over time.

2. Accounts and access

• Access is by invitation from an authorized administrator. Your role determines what you can see and do.
• You are responsible for keeping your sign-in credentials secure and for activity under your account. Tell your administrator promptly if you suspect unauthorized use.
• Provide accurate information, and do not share an account between people.

3. Your content and responsibilities

You and your organization own the information, documents and records you enter or upload (“Customer Content”). You give IdealixAI a limited license to host, process and display Customer Content only to operate and support the Service. You are responsible for the accuracy of what you submit, including applications, expense claims, receipts and attestations, and for having the right to submit it.

4. Acceptable use

You agree not to: access data you are not authorized to see; interfere with or disrupt the Service; attempt to bypass security or permissions; upload malicious code; submit false or misleading claims; or use the Service in violation of law or of the terms of any grant.

5. Audit records

Changes made through the Service are recorded in an audit log that shows who changed what and when. Audit entries are kept for 24 months and may be visible to administrators and, for their own records, to the school concerned.

6. Availability and changes

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features, and may update these Terms. Continued use after a change means you accept the updated Terms.

7. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, IdealixAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The Service does not provide legal, accounting or compliance advice, and funding decisions remain with your administrators.

8. Limitation of liability

To the fullest extent permitted by law, IdealixAI will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost data, revenue or funding, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount paid for the Service in the twelve months before the claim.

9. Suspension and termination

We or your administrator may suspend or end access if these Terms are violated or if needed to protect the Service or its users. You may stop using the Service at any time. Provisions that by nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the United States and the state in which IdealixAI LLC is organized, without regard to conflict-of-law rules.
